Welcome to Harmonic Resonance Studios! These terms and conditions outline the rules and regulations for the use of Harmonic Resonance Studios' Website and services, located at 2305 2nd Ave, Suite 200, Seattle, WA 98121. By accessing this website and/or utilizing our studio services, you accept these terms and conditions in full. Do not continue to use Harmonic Resonance Studios' website or services if you do not accept all of the terms and conditions stated on this page.

Account Terms

You must be 18 years or older to create an account with Harmonic Resonance Studios. By creating an account, you warrant that you are at least 18 years old and that all information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

• You must provide a valid email address and other required information to complete the signup process.
• You are responsible for all content posted and activity that occurs under your account (even when content is posted by others who have accounts under your account).
• One person or legal entity may not maintain more than one free account.

Content

All content created within Harmonic Resonance Studios, including but not limited to audio recordings, musical compositions, sound designs, and associated documentation ("Content"), is subject to the following terms:

• Ownership: Unless otherwise agreed in writing, Harmonic Resonance Studios retains ownership of all raw audio files and project files. Clients retain ownership of the finished, mixed, and mastered product, provided all invoices are paid in full.
• Usage Rights: Harmonic Resonance Studios reserves the right to use snippets (up to 30 seconds) of finished Content for promotional purposes on our website and social media channels, unless explicitly prohibited by a non-disclosure agreement.
• Client Responsibilities: Clients are responsible for securing all necessary licenses and permissions for any copyrighted material used in their Content, including music, sound effects, and samples. Harmonic Resonance Studios is not liable for any copyright infringement resulting from client-provided materials.
• Storage: Harmonic Resonance Studios will retain client project files for a period of six months after the completion of the project. Clients are responsible for backing up their final Content.
• Content Removal: Harmonic Resonance Studios reserves the right to remove any Content from its systems that violates these terms or is deemed to be harmful, offensive, or illegal.

Content Liability

Harmonic Resonance Studios is not responsible for the accuracy, completeness, appropriateness, or legality of files, user posts, or any other information you may be able to access using the Site Services. Your use of the Site Services and any Content available through the Site Services is at your own risk.

Acceptable Conduct

Harmonic Resonance Studios is committed to providing a safe and respectful environment for all clients and staff. The following conduct is strictly prohibited:

• Harassment, discrimination, or abuse of any kind.
• Disruptive behavior that interferes with the operation of the studio or the enjoyment of others.
• Damage to studio equipment or facilities.
• Theft of studio property.
• Illegal activities, including drug use and distribution.
• Violation of intellectual property rights.

Harmonic Resonance Studios reserves the right to refuse service to anyone who violates these standards of conduct. Any violation of these terms may result in immediate termination of your account and/or expulsion from the studio.

Service Usage Guidelines

Clients are expected to adhere to these guidelines during studio sessions:

• Punctuality: Please arrive on time for scheduled sessions.
• Session Preparation: Clients should come prepared with necessary materials (instruments, lyrics, session files).
• Communication: Open communication with our engineers is vital for a productive session.
• Respect for Equipment: Use studio equipment with care and follow instructions from our staff.
• Session Breaks: Schedule breaks to maintain energy and focus.
• Feedback: Provide constructive feedback during the session to help achieve the desired results.
• Cleanliness: Maintain a clean and tidy workspace.

Disclaimer

Harmonic Resonance Studios provides its services "as is" and without any warranty or condition, express, implied or statutory. We specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Harmonic Resonance Studios does not warrant that the services will be uninterrupted, timely, secure, or error-free.

In no event shall Harmonic Resonance Studios, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.

Limitation of Liability

3. Any interruption or cessation of transmission to or from our services.

5. Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the services.
6. The defamatory, offensive, or illegal conduct of any third party.
